Buying a spa in Dubai: your questions answered
Can a foreigner buy a spa in Dubai?
Yes. Since the 2021 changes to the UAE Commercial Companies Law, most mainland commercial activities can be 100% foreign-owned, and that includes the companies that run hotel spas and salons. Buyers can be overseas individuals or companies; we coordinate the licence and visa steps with a registered PRO.
What licence does a spa need in Dubai?
A trade licence from Dubai Economy & Tourism (DET) with activities that match the services offered โ for example a spa or beauty-centre activity โ plus Dubai Municipality health and safety approvals and health cards for therapists. Medical treatments need separate Dubai Health Authority approval. We confirm the exact activities against each business before you sign.
How is a spa business valued?
Mainly on verified net profit, adjusted for the time left on the hotel agreement or lease, the rent, the condition of the fit-out and whether staff and visas transfer. We test the sellerโs figures against VAT returns, bank statements and payroll before a price is agreed.
How long does a spa transfer take?
Usually a matter of weeks rather than months once the sale agreement is signed. The main variable is how quickly the hotel issues its written consent; the DET and notary steps are routine once documents are in order.
Are hotel spa leases transferable?
Only with the hotelโs written consent. On the deals we structure that consent is a condition of the sale: if the hotel does not approve, the buyer can withdraw and the deposit is returned.
Will I see the hotel name before signing anything?
No. Listings show the star rating, area and key figures. The hotel name, address and full financial pack are released after you sign an NDA, which protects the seller, the staff and the hotel relationship.
Do staff and visas transfer to the new owner?
In a share sale the company โ and its staff and visas โ stays in place. In an asset or licence transfer, staff are moved to the buyerโs company through the usual MOHRE and residency procedures. We plan this so the spa never stops trading.
What is the difference between a share sale and a licence transfer?
In a share sale you buy the company that holds the licence and hotel agreement. In a licence or asset transfer you take over the business into your own company. Which one is right depends on the hotel agreement, liabilities and visas; we advise per deal.
